Having concluded that the Board acted reasonably, one local judge stated, “I cannot substitute my judgment for their judgment…It is not so obviously safe, in harmony with external design…to make it a matter upon which reasonable persons could not differ.” With that decision, the “business judgment rule” became part of the Northern Virginia territory…only to be carved up with an exception at seemingly every corner. What protection is it now for the Board in the operation of the family business?
